Successful candidate will be responsible for a full spectrum of corporate secretarial duties including but not limited to company incorporation, company strike off, preparing directors’ and shareholders’ resolutions, and lodgements with ACRA.
Responsibilities:
- Preparation of the documents pertaining to the general corporate secretarial matters for private, listed and offshore companies
- Incorporation of New Company and registration of Branch and representative office
- Striking off the Company
- Preparation of the documents pertaining to AGM, EGM, Board Resolution, etc.
- Attending AGM, EGM, Board and Board Committees meetings for private and listed companies
- Writing minutes and preparation of the board meeting material for private and listed companies
- Preparation and advisory work pertaining to the annual report and AGM materials
- Statutory Filing with ACRA on the changes (shares, change of officers, address etc)
- Liaising with the clients and ACRA / IRAS officer
- Maintaining minutes’ books and updating records in register book
- Amendments to the Company’s M&A
- Registration and Discharge of Registered Charges
- E-stamping with IRAS for transfer of shares
- Preparation of the Company’s billing for secretarial fee and other charges
- Registration / Renewal / Termination of Business Firm
- Issue of share certificates
- Arrange and order for the common seal
- Other ad-hoc duties or assignments including administration work.
Requirements:
- Possess ICSA/LLB or CS qualification
- At least 3 years of experience in professional firms providing corporate secretarial services for listed companies
- Familiar with ACRA Biz-filing requirements
- Good organizing & coordinating skills
- Good command of spoken & written English
- Good attention to details
