We are looking for an Associate Director to support our M&A transaction work with private equity funds. This role will include advising large private equity firms on the structuring and tax implications of management incentive plans for the senior management teams of the portfolio companies they acquire. You will be a key member of the client teams, developing your own client relationships and developing more junior team members, with the full support of more senior team members focused on your development and progression.

In this team, your role in the group would encompass some or all of the following:
  • Leading due diligence projects (both for purchaser and vendor) in relation to employment tax implications of employee share arrangements and other remuneration structures in target companies;
  • Structuring of UK and international management equity plans for the senior management teams of portfolio companies on private equity transactions and advising on the employment and personal tax aspects, including advice on management rollover, clearance applications, and entrepreneurs’ relief;
  • Responsibility for determining the capital structures for the new holding companies, including building spreadsheets to model the capital structure;
  • Ongoing employment tax and personal tax advice for the portfolio companies in relation to the management equity plans, including plan resets, refinancing and advice in the run up to a sale or flotation;
  • Managing diverse teams within an inclusive team culture where people are recognised for their contribution.

Your professional experience

To be considered for this role, you must possess the following skills and experience:
Technical skills
  • Full appreciation of current tax legislation (in particular Part 7 ITEPA 2003, capital gains tax, entrepreneurs’ relief), preferably qualified ACA or CTA, or equivalent qualification or experience;
  • Strong technical ability surrounding the legislation and case law;
  • Highly numerate with keen attention to detail;
  • Willingness to learn and deal with new ideas and technical areas;
  • Technical experience of working with private equity funds at transaction/portfolio company level.
Communication skills
  • Ability to build strong client relationships;
  • Strong business acumen and commercial awareness;
  • Ability to communicate complex ideas, both written and oral, in a pragmatic and articulate way;
  • Ability to lead calls and negotiations, in particular with other professional advisers;
  • Ability to produce high quality, client facing, technically accurate and well written work;
  • Ability to adapt to changes in the external environment rapidly and to respond to clients appropriately in this context.
Practical skills
  • Ability to plan and prioritise workload, meet deadlines and work well under pressure;
  • Ability to take ownership and use initiative to resolve problems;
  • Ability to exercise appropriate level of judgement.
Management skills
  • Excellent team player with the ability to build effective relationships at all levels;
  • Experience of leadership and delegation.
