Team Overview
- In house M&A specialist team, focused on structuring and executing large and complex transactions for the firm
- The team works hand in hand with the investment teams across sectors, globally
Key focus areas include:
- Deal structuring:Evaluating and recommending transaction structures to achieve the firm’s investment or divestment objectives. E.g. preferred instruments, earn-out mechanism, exit provisions and minority rights
- Financial analysis: Evaluating the financial impact of the structure and assisting with financial modelling, return evaluation and due diligence
- Negotiation and documentation:Reviewing and negotiating investment term sheets and transaction documents, with a focus on commercial and financial terms
- Overall execution:Assisting in managing the overall transaction process, involving proactively assessing potential issues & risks, coordinating with various internal and external parties
Main Responsibilities
- Leading teams to drive outcomes in the structuring and execution of complex investments and divestments
- Working alongside industry and markets teams, as well as coordinating with legal and tax teams to provide advice and leadership on deal assessment and structuring
- Driving review and negotiation of transaction terms and documentation
- Preparing analysis and presenting views to deal teams and senior management
- Promoting transaction execution best practices internally
Qualifications & Experience
- Bachelor degree from an accredited university required. Master’s degree a bonus
- Working experience: 8+ years relevant experience with a top-tier private equity firm, investment bank, internal M&A department and/or corporate M&A legal practice
- Strong analytical and advisory skills with sound commercial thinking and judgment
- Hands-on mindset, with a proven ability to manage multiple project and to work independently
- Ability to build relationships within and outside the firm as well as guide, mentor and inspire junior colleagues
- Excellent communication, interpersonal & team skills
