Responsibilities: • Providing Corporate Secretarial Services to own portfolio of Irish and off-shore clients. • Making arrangements for and managing the process of directors' and shareholders' meetings, including the convening and hosting of meetings, preparing and circulating the meeting papers, attending the meetings and preparing all minutes connected thereto and on instruction from the Boards, co-coordinating the actioning of matters resolved thereat. • Travelling to Board Meetings when required. • Keeping and making all necessary statutory returns and records required to be kept and made, making all necessary statutory notifications and arranging any necessary stock exchange announcements. • Maintaining the Minute Book and All in Register for the Client Companies. • Managing relations with Clients, with regard to Company Secretarial matters. • Keeping under close review all legislative, regulatory and corporate governance developments that might affect the Company Secretarial Department. • Ensuring that as a matter of policy from a corporate governance perspective standards of best practice are documented and adhered to for all entities serviced. • Completing Ad hoc duties, which may or may not be Company Secretarial Department based, as and when required. • Providing a channel of communication between the Board and the various service providers. Requirements: • ICSA part -qualified or qualified (essential) with a minimum 18mths experience • Have a proven track record in a previously similar positions • Be familiar with electronic filing systems, CRO electronic filings and use of precedent documents • A high degree of communication skills, with the ability to communicate with a wide range of contacts, including clients and internal staff at all levels • Be self-motivated with a structured and determined approach to work • Have the ability to work closely with all team members • Display a keen attention to detail, with a high level of accuracy Excellent working atmosphere and salary on offer.
