WHO WE ARE
The GS Legal Department ("GS Legal") plays an essential role in the formulation and implementation of the strategy of GS. The advice and counsel provided by GS Legal to all areas of the firm is critical to maintaining the firm's commitments to its clients, regulators, and shareholders and to promoting its culture of excellence and integrity. GS Legal's goal is to provide advice that protects the firm's financial well-being and reputation, and assists the various businesses in executing transactions and evaluating the associated risks.
The position will be based in Hong Kong and will be part of the Legal Department's group that provide coverage within Asia Pacific to the Asian Special Situations Group and the Firm's other investing and lending businesses in Asia.

RESPONSIBILITIES

• Direct interaction with business units regarding transactions, asset management, regulatory and reputational matters
• Advising on diligence and negotiation of deal documentation for acquisition, investment, lending and disposition transactions, including both debt and equity positions
• Advising on portfolio management events relating to investing and lending transactions
• Instructing and managing external counsel and consultants
• Communicating legal and regulatory requirements to the business teams
• Working with other parts of GS legal and the other departments in the Firm to analyze and navigate issues arising on deals

RESPONSIBILITIES AND QUALIFICATIONS BASIC QUALIFICATIONS

• 7 to 9 years' post qualification experience required in a leading law firm.
• Team player with strong analytical skills and sound legal and commercial judgment
• Strong oral and written communications skills (fluency in Mandarin Chinese ideal but not required)
• High level of initiative, integrity, and organization

PREFERRED QUALIFICATIONS

• Strong debt side transactional lawyer with experience with the negotiation of term sheets, debt facilities, security documents and other financing and investing documentation (debt and equity) in respect of Asia deals
• Very good knowledge of security package structuring and enforcement
