Assistant Company Secretary/Legal Executive Jobs like this involve the delivery of company secretarial support and services to the Board of RSA Insurance Ireland DAC, its Committees and the boards of its subsidiaries and affiliates (including RSA Group) to ensure RSA companies are compliant with statutory requirements and effective standards of corporate governance. You will support the development and delivery of the corporate governance framework across the business through the provision of advice and training. You will work with Company colleagues to identify and deliver corporate governance priorities to ensure the business' interests and reputation are protected and maintained, and you will liase with RSA Group in respect of its specific reporting requirements. This role will also, to a lesser extent, involve supporting the Head of Legal in a variety of roles coming within his remit. This will include but not be confined to administration and monitoring of relevant Company policies including Competition Law/Legal Risk, Conflicts of Interest, Intellectual Property and related matters, and supporting the provision of non claims legal services across the Company. In this role you will keep up to date with relevant legal developments and liase with RSA Group regarding its requirements. You will support a range of Company projects, including M&A projects, and assist with legal/tax/finance projects. Your internal customers will come from across the entire business and include but not be confined to the Board, Regulatory Risk, Procurement, Finance/Tax, Commercial and Personal Underwriting and HR relevant aspects of law (including undertaking or procuring legal research), so as to provide the business and other legal colleagues with best practice advice and information on which to base decisions. This job will typically be measured with the following KPI's Compliance with, Legal and regulatory requirements, Corporate Governance standards Company Secretary satisfaction with: *Identification of global Company Secretary requirements Delivery of support and advice to subsidiary businesses promotion of Corporate Governance standards Timely delivery of reporting to meet Corporate and statutory requirements Enhanced relationship with Board, Committees and NEDs Maintenance and reporting of requiremetns with key Company Policies including Competition law, Conflicts of Interest, Intellectual Property, Insider Information, Dislossures, Third Party Contracts Positive relationships with external advisers Administration of legal and Company Secretarial matters, including billing and budgeting matters Satisfaction of Head of Legal, and/or local CEO and business in terms of:â-¦Quality, accuracy and timeliness of recommendations Input to legal projects, Development of legal standards Assisting the management of legal aspects of insurance or other commercial arrangements or corporate transactions, as appropriate. Compliance with legal and regulatory requirements. Administration of reporting, both in respect of the above Policies and reportings to the Ireland and Group requirements and S upport to team members. Jobholder Requirements Chartered Secretary or equivalent qualification or at a minimum progressing towards attaining a similar qualification Have experience of working in a legal environment, whether in private practice or in house Excellent organisational skills Chartered Secretary or equivalent qualification or endeavoring to attain a relevant qualification Relevant management experience in a listed PLC Experience of delivering corporate governance standards across global organisation
