Company Secretarial, Asst Manager_ Bank
Report to the Department Head, Legal & Company Secretary
Specific Duties & Responsibilities
- Liaise and close contact with regulatory authorities, notify the relevant authorities regarding change of director, director's and Company's particular.
- Prepare minutes/resolutions of Board of Directors to approve day-to-day business transactions, including banking facility, bank account related matters, management agreements, deeds, legal proceedings and etc.
- Schedule quarterly Board of Directors' meeting, arrange and distribute board papers to local and overseas board members.
- Prepare POA, NDA, MOU and LOI upon request.
- Provide legal support/ advice to internal departments in terms of legal due diligence, review on contracts and agreements; attend to closing of projects and provide documentation support.
- Maintain and update Company's registers of directors, secretaries, member, transfers and charges, etc.
- Incorporation of new companies in Hong Kong or other region, including post-incorporation events about new directors' appointment, shares registration and keeping books and records, liaise and notify offshore agents for statutory update and changes.
- Prepare AGM matters for HK companies to satisfy requirements of Companies Ordinance and Banking Ordinance (for the Company).
- Report to HQ and notify HKEx about disclosure of interest and appropriate listed companies in relation to investments held under by Corp.
- Assist internal and external auditors/ regulatory authorities to meet their auditing requirements.
- Monitor and supervise subordinate to submit annual return, statutory changes for HK companies with Company Registries, renewal of licenses for HK companies and offshore companies
- Monitor subordinates' performance and coach and develop the subordinates
- Support and participate in various ad hoc assignments or projects.
Education and Professional Requirements
- Minimum: Degree in Business Administration or related discipline
- Preferred: Member of ICSA/ HKICS
Experience Requirements
- Minimum: 8 years working experience, exposure in Financial Institution or listed company
- Preferred: Exposure in IPO projects
- Strong company secretarial knowledge
- Strong leadership, communication and analytical skill
- High integrity, initiative and able to work independently
- Good command of English and Chinese (Putonghua is an advantage)
