As the Sr. Analyst of Executive Compensation Design and Administration at XPO Logistics, you will be responsible for providing extensive support in the design of executive compensation structures for the company’s executive officers and senior management as well as managing company policies and procedures with respect to long-term incentive awards. What you’ll do on a typical day: Support the preparation of materials for meetings of the Compensation Committee of the Board throughout the year; maintain the annual agenda of topics in the Compensation Committee work plan Participate in executive benchmarking; create benchmarking exhibits of CEO and executive officer pay levels using public filings; analyze level and composition of pay for non-executive members of the Board of Directors Research competitor proxy statements and 8-k, 10-k and Form 4 filings to understand and keep pace with competitor compensation structures and changes, including tracking competitor earnings release dates, proxy filing dates, and key metrics (e.g., competitor EBITDA, Capex, TSR, etc.); keep track of SEC rule changes that impact public company disclosures and provide recommendations and solutions Provide analysis of executive compliance with stock ownership and retention policy and number of shares that are permitted to be sold each quarter; conduct regular modeling and monitoring of authorized share usage for employee equity grants, using various stock prices; provide ongoing support for the Employee Stock Purchase Program (ESPP) Review and track Proxy Advisor policy changes and run pro-forma modeling on say-on-pay and equity plan recommendations utilizing ISS and Glass Lewis published models Maintain inventory and records of executive employee agreements, change-in-control agreements, and other plan documents relating to executive compensation Provide necessary data and inputs for production of the Compensation Discussion and Analysis of the company’s Proxy statement, including the Executive Compensation Tables Develop and distribute annual statements for the Top 50 Paid employees, providing a consolidated view of each individual’s outstanding long-term awards and expected liquidity events What you need to succeed at XPO: At a minimum, you’ll need: Bachelor’s degree 5 years of relevant experience Proficiency with Microsoft Office Suite (Word, Excel, PowerPoint, and Access) Availability to work extended hours, which may include weekends; occasional domestic and international travel required It’d be great if you also have: Strong aptitude for understanding and analyzing proxies and other public filings Ability to analyze and maintain awareness of evolving trends in the market Ability to develop insightful, value-added, and actionable analyses with detailed explanations regarding drivers of those results Excellent verbal and written communication skills; able to present clean, organized, and thorough information and data appropriate for intended audience Strong attention to detail with ability to work well under pressure, balance multiple priorities, and produce results in a timely and accurate manner Ability to provide timely and professional support to all internal and external constituents with a special focus on senior leadership requests Ability to establish and maintain effective, collaborative work relationships both internally and externally Ability to maintain strict confidentiality related to all compensation matters, SEC filings, and other press that involves internal compensation data Be part of something big.
