BUSINESS UNIT OVERVIEW
GSAM (Goldman Sachs Asset Management) is a world leading investment management organization and a core division of Goldman Sachs. Its clients include some of the world's largest investing institutions and the strategies that it offers span fundamental and quantitative styles of investing and a broad range of asset classes from money market funds to hedge funds to multi manager strategies. The legal team in Hong Kong and Singapore supports the GSAM business throughout the Asia Pacific ex Japan region. The location of this role will be Hong Kong.

RESPONSIBILITIES
The legal business services professionals sit with, and are a fundamental part of, the various teams of lawyers in the Legal Department, in this case to support the GSAM business. The GSAM legal team is expected to be pro-active in guiding GSAM on legal matters, and this particular role has substantial direct interaction with GSAM Product Development, Compliance, retail and institutional Sales, marketing, shareholder servicing and operations teams, not just in Asia but also in the Americas and Europe.

We are looking for a technically-minded professional to join the APEJ GSAM legal team, reporting to the relevant GSAM lawyers in the region.

The main day to day responsibilities will be focused on:
  • Retail registration of our Luxembourg domiciled mutual fund range in Hong Kong and ongoing maintenance and oversight, which requires significant liaison within GSAM legal and with other GSAM functions across the globe, as well as external parties such as local counsel, both initially upon registration and on an ongoing basis
  • Working with GSAM institutional sales, strategic client services and other teams on negotiation of investment management agreements, fund provider agreements and other ancillary documentation in connection with the onboarding of institutional clients for separate account mandates or fund investments
  • Providing legal support to the key clients in institutional and retail sales on ad-hoc queries, for example in relation to website disclosures, licensing obligations, sponsorship arrangements (including arranging for reviews and assisting with negotiations) and other issues related to marketing of GSAM products and services
  • Working with Product Development in relation to the approval, launch and registration of new funds, as well as work related to fund closures, mergers, de-registrations or other modifications, related to the above
  • Assisting senior counsel with reviews and negotiation of brokerage and other counterparty arrangements, as well as trading and derivatives documentation
  • Arranging for reviews and assisting with negotiations of electronic trading and other IT or vendor agreements
  • Analysis of regulatory developments impacting GSAM in APEJ
  • Providing support on project-based assignments and licensing related matters
  • Assisting with drafting and preparation of Committee and/or Board papers and other governance related matters
  • Negotiation of NDAs relating to distribution or institutional sales activities
  • Negotiation and maintenance of intercompany agreements
  • Document retention and management
  • Precedent agreement safekeeping and maintenance


RESPONSIBILITIES AND QUALIFICATIONS BASIC QUALIFICATIONS
  • Primarily an appetite and ability to learn new things and not just to be able to apply procedures and processes, but also to understand them and input into their development and improvement.
  • Team player with the ability to work in a challenging business environment, whilst adhering to firm policies and group practices.
  • Personable and confident with ability to interact well directly with the business team and to take on responsibility for key business relationships.
  • Drafting and negotiation skills.
  • Technically minded and ideally some familiarity and experience with asset management and relevant regulatory issues, particularly in Hong Kong and Mainland China.
  • Chinese language skills is a pre-requisite.
