Manager, Company Secretarial & Governance, International Bank LOCATION:  DUBLIN JOB TYPE:   PERMANENT SALARY:       NEGOTIABLE THE OPPORTUNITY: On behalf of our client and due to continued growth, Red Tree Recruitment is looking to recruit a Company Secretarial Manager with a minimum of 2 years' experience for our client an international bank. This is an interesting & varied role where there are clear opportunities for career progression and development as with training & support in the short to mid-term the successful candidate will be expected to take on the full company secretarial responsibility. THE ROLE: Overview Assisting the Company Secretary including responsibility for the preparation of board material and the organisation of board meetings; attending the meetings and minute taking, maintaining corporate records and share administration. He or she will be involved in capital management and other projects in response to line of business initiatives to ensure compliance with relevant statutory and regulatory requirements. He or she will support the Company Secretary in the provision of expert advice on corporate governance matters to the Board, the Board Committees and to the business as well as overseeing the overall day to day activities of the function. He or she will initially assist the current Company Secretary but, with the right training and support, in the short to medium term they will be expected to take on the full Company Secretarial responsibility. CANDIDATE PROFILE/EXPERIENCE: Knowledge: Qualified Chartered Secretary Minimum two years of experience administering Boards in an FS regulated environment Knowledge of the Central Bank of Ireland's Corporate Governance Requirements for Credit Institutions 2015 preferred Knowledge of the capital markets sector preferred Experience advising Boards of regulated entities on corporate governance matters Skills: Exceptional oral and written communication skills. Must be an effective communicator with good interpersonal skills Highly organized, ability to prioritise and manage multiple tasks Sound computer skills, ideally with experience using electronic board portals and global entity management systems; able to adapt and apply new technologies Ability to deal with directors, executive officers and support staff in a professional and courteous manner, and develop and leverage professional working relationships Ability to work to and meet tight deadlines within a pressured environment Key Accountabilities Oversee the preparation and management of the agenda, notices, meeting materials and the logistics for all Board and Committee meetings Attend all Board and Committee meetings Produce minutes and associated correspondence including the matters arising chart and Board/Committee rolling agendas Working with the Company Secretary, produce candidate profiles for director vacancies and check candidates meet the individual suitability requirements for members of the management body prior to nomination; Produce induction materials and an induction programme for new directors and check their individual training needs; Working with the Company Secretary, undertake Board effectiveness evaluations and create the Board skills matrix to ensure that collectively the Board is sufficiently diverse and  has adequate knowledge, skills and experience; Working with the Subsidiary Governance team, conduct gap analysis on forthcoming regulatory changes as they relate to corporate governance to ensure that the company remains compliant; Responsible for corporate filings with the CRO Responsible for maintenance of statutory registers in GEMS to include director, company and capital changes Complete corporate change checklists Assist Regional Manager, Subsidiary Governance (Europe) with quarterly verification reporting of operational compliance Assist management with KYC and regulatory requests • Collate materials for audit and regulatory disclosure Assist the business with projects that require SGO input. Scope & Impact Governance role assisting in the production of reports for the Board and Committees on corporate governance and company law developments. Review and advise on capital  management  transactions,  projects  and  processes,  including  preparing documentation in coordination with Legal, as necessary. Liaise with corporate support areas to address queries from accountants, internal control, internal and external auditors, regulators and compliance staff. Cross Functional Relationships Interacts regularly with: Directors and officers of designated subsidiaries Senior management in the bank Legal, Corporate and Compliance Group and other Corporate support areas such as Finance, Risk, HR and Tax External legal counsel Please note only candidates that match the minimum job requirements above will be contacted for this role.
