Your Position

To be part of a team and to assist the Manager with the aim to provide general Company Secretarial services to Private Equity fund structures, combined with supporting the wider team with additional projects and initiatives.

Key responsibilities will be to:

  • Attend client board meetings and manage all related company secretarial matters
  • Arranging of board/committee meetings as required
  • Collation and preparation of board packs for board/committee meetings as required
  • Drafting minutes, including a range of basic to complex minutes for private equity, private debt and fund of funds clients
  • Act as a reviewer to draft minutes produced by more junior team members and the Centre of Excellence in India
  • Update client company secretarial records clearly and accurately
  • Establish good relationships with your clients, their intermediaries, members of the team, the administration teams and the Centre of Excellence
  • Act as a mentor and develop the company secretarial skills of the more junior team members on the team and those that require training at the Centre of

Excellence

  • Recording, circulating and following-up on actions arising
  • Changes to directors, officers, shareholders and beneficial owners, advising appropriate authorities accordingly and updating records
  • Formation of companies
  • Preparing share certificates and stock transfer forms as required
  • Annual confirmation statements as required
  • Provision and updating of corporate documentation as required
  • Share transfers and returns of allotment as required
  • Terminations including liquidations, dissolutions and strike-offs as required
  • Preparation of director/secretary certificates as required
  • Preparation of correspondence as required
  • Powers of attorney
  • Obtaining notarised and/or legalised documents
  • Alterations to company M&As including change of name, alteration of capital
  • Sealing and certifying documents and extracts of minutes as necessary
  • Preparation of certificates of incumbency
  • Requesting documents from HM Greffier and various agents
  • Undertaking projects

Key Attributes

  • Highly organised, diligent, professional and an approachable team player
  • Strong minute writing skills, working with the Manager and Assistant Manager to ensure the highest standards of corporate governance best practice are implemented across all Private Equity clients
  • Experienced in drafting complex minutes for private equity, private debt and fund of funds clients
  • Attention to detail
  • Company secretarial experience with Jersey as well as non-Jersey companies is desirable
  • Collaborate with your team and Manager to manage your client portfolio
  • Contribute to process improvements relating to company secretarial matters for the Private Equity clients
  • Participate in a culture of knowledge sharing, collaboration, transparency, cross- training and development
  • Pro-actively take on additional responsibilities and company secretarial tasks as required by your clients and/or manager
  • Become an expert in technical matters relating to funds, including any fund regulatory requirements that are applicable to your clients

Client Care

  • Ensure client records are clearly updated with all correspondence/information
  • Communicate openly and honestly with clients and their intermediaries on a regular basis
  • Develop strong and productive relationships with the Private Equity Teams to ensure communication and cooperation is fully established.

People & Team

  • Be responsible and approachable when given tasks by a senior team member
  • Act as a reviewer for outputs produced by more junior team members
  • Delegate effectively any work more suited to junior team members
  • Provide new, innovative ideas on how to improve the efficiencies of daily tasks
  • Take care of and establish good relationships with all suppliers, colleagues and clients
  • Drive personal development using all the resources available at Intertrust to achieve success
  • Mentor junior team members to help drive their development and progression

Financials

  • Accurately record all time spent dealing with client matters to ensure the clients are correctly invoiced
  • Assist in the oversight of all fund statutory returns

Skills & Expertise

  • Hold (or working towards) ICSA or equivalent professional qualifications
  • Must be committed and driven to achieving excellence for themselves and their client
  • Be pro active and forward thinking
  • Experience in a similar role
