Overview

As a Manager in the Transaction Support team in Corporate Finance you will be given the opportunity to join a growing advisory team and develop your experience advising on the buy-side of UK and international mergers and acquisitions, providing due diligence and buy-side advisory services to strategic buyers, financial investors, banks and other funders.

You will work directly supporting the directors and partners and be expected to lead multiple projects, taking responsibility for delivering high quality and timely advice to our clients. You will be expected to lead teams of professionals and support the development of junior team members and also actively contribute to business development activities.

Key Responsibilities

As a Manager you will support the Partners/Directors in all aspects of buyside advisory services.

The role will require the individual to:

  • Have worked in transaction services, or the wider corporate finance/financial investigations lines of service for 2 to 3 years.
  • They should ideally be fully qualified (albeit exceptions can be made in certain circumstances).
  • Be self-motivated and show strong values of ownership in respect of the task/output.
  • Be comfortable and capable of managing more junior staff, and taking on the responsibility for the day-to-day management and development of the team.

As a Manager reporting directly to the Directors and Partners, you will be expected to:

  • Project manage the buy-side transaction process throughout, ensuring the day-to-day requirements of the process are satisfied and the input of other advisers is co-ordinated.
  • Manage multiple transactions at any one time – utilising the team, effectively delegating work streams and delivering timely output to the Directors and Partners for review.
  • Be responsible for the preparation and delivery to the Director/Partner of market leading ‘client ready’ due diligence reports that are “Robust, Relevant and Insightful”. This must include the drafting of well-structured and concise ‘Key Messages’.
  • Support with initial scoping meetings with clients to identify the key questions that the DD needs to answer and tailor work programmes and information requests accordingly for each transaction.
  • Co-ordinate the input from other Crowe teams involved in the process and manage their contribution to the due diligence process and inclusion in the report
  • Prepare formal proposals in respect of new work opportunities and potential client introductory meetings.
  • Have a strong understanding of typical mid-market deal structures involving strategic and financial buyers and the key issues which can arise from the same
  • Have a strong understanding of the impact due diligence can have on a transaction process and structure and advise clients in a professional and timely manner in respect of key findings.
  • Ensure relevant regulatory and compliance procedures are performed for each assignment, to the required standard
  • Possess exceptional interpersonal skills required for regular client and contact liaison throughout deal processes
  • Provide regular feedback and constructive criticism to members of the team on a regular basis and support the Director/Partner with the appraisal of the junior members of staff
  • Possess strong Excel skills and have the ability to prepare and review integrated financial models for the appraisal of financial performance and investment structures
  • Lead junior members of the team in focussed market research and business development activities

You will also be required to regularly and actively participate in networking events in order to build your network and support the firm with origination and business development activities.

Each member of the Team is required to attend relevant Corporate Finance training held both externally and internally.
