Department Profile

The Institutional Equity Division (IED) is a global leader in the origination, distribution and trading of equity, equity-linked and equity-derivative securities. The Firm’s equity Sales & Trading operations provide liquidity, distribute content, and create product solutions to help our clients generate alpha. The Equity Financing Products department acts as a strategic partner to more than 800 top hedge fund managers: executing and clearing trades across asset classes, time zones, and currencies; providing financing and expertise to help manage risk and benefit from technology; and consults to help launch new funds and connect with them potential investors.

Background on the Team

Institutional Securities Documentation (ISD) is a global team based in several locations (including New York, London, Hong Kong and Tokyo).  The London Equity Documentation Group (LEDG) is the team within ISD which is responsible for the master trading agreements for the equity businesses of Morgan Stanley’s EMEA offices, which includes documentation for where Morgan Stanley acts as prime broker, listed derivatives and OTC client clearing broker, over-the-counter on equity swaps/options (vanilla and exotic) on global equity underlying, securities lending, cash equity trading, regulatory remediation and subsets of documentation relating to its coverage areas.  

This role will be based in the firm’s London office, where the team is principally based. 

Primary Responsibilities

Negotiate full suite of trading agreements with a client base which includes asset managers, funds, corporates, dealers, insurance companies and banks. The types of agreements covered includes, but is not limited to, ISDA master agreements, credit support annexes, agreements for securities lending prime brokerage, listed derivatives agreements, OTC client clearing, electronic trading, tri-party control agreements, master confirms and confidentiality agreements.
Review client constitutional documents to determine legal capacity and authority.  

  • Review capacity and authority legal opinion from external counsel and highlight issues to Risk and Legal for approvals where applicable.  
  • Present deviations to standard terms to internal stakeholders, setting out clear implications of acceptance to enable internal stakeholders to make informed decisions. 
  • Handle business unit’s queries on documents covered by the team.
  • Participate in global or locally led projects related to documentation requirements.
  • Undertake tasks directly related to the coordination and lifecycle management of the client’s agreements and acts as the primary point of contact for the clients for all tasks originating from the EMEA region.
  • Responsibility for administering and facilitating the agreement execution process; maintain and update client’s contract database/systems; attend to day-to-day coordination among internal procurement and legal teams with respect to such contracts; and perform due diligence to ensure contract terms and conditions as well as information of the parties is reflected in the client’s contract database/systems. 

QUALIFICATIONS

Skills required (essential)

  • In-house documentation negotiation experience or paralegal experience in corporate law firm preferred;
  • Excellent oral and written communication skills; be prepared to speak to clients (internal and external) at all times and a need to be comfortable with working on an open trading floor; 
  • Solid quantitative skills and strong interest in business, economics and law; 
  • Willingness and ability to provide quality service to the Firm's clients and to promote and enhance the Morgan Stanley franchise; 
  • Willingness to work in dynamic environment and the ability to excel under pressure; 
  • Proficiency and interest in technology and systems development; 
  • Organized, pro-active, ability to multi-task and work efficiently, detail-oriented and self-sufficient.
