About RSM Debt Advisory

Operating within RSM’s well-established corporate finance team, the Debt Advisory team advises middle-market companies, shareholders and private equity funds through the process of raising and/or renegotiating debt financing across a range of situations including management buyouts, acquisitions, refinancings, growth capital, recapitalisations and stressed situations. We advise our clients throughout the funding process from initial assessment of debt capacity and options, to managing a competitive process to negotiating the best possible deal.

The Debt Advisory team was launched in November 2019 and has since completed c. 30 deals with a dedicated team of five covering a vast range of debt products and markets. The team sits within the wider corporate finance faculty, which includes M&A, due diligence, capital markets, financial modelling and valuations, and PLC advisory, combining with our restructuring faculty as the wider RSM Transactions team.

Role overview

RSM’s growing Debt Advisory team is seeking to hire a Manager or Associate Director in its London team. This role entails working closely with RSM’s national Head of Debt Advisory, in origination and conversion of prospective clients; project execution for clients; managing and developing junior members of staff; helping to shape the team’s evolving strategy; marketing to internal and external referrers; and maintaining relationships with lenders.

Responsibilities

  • Contributing to transaction process planning and deal structuring conversations;
  • Producing and reviewing transaction marketing materials;
  • Reviewing complex integrated financial models;
  • Managing the overall deal team to ensure timelines are met and quality is maintained;
  • Acting as key client point of contact for day-to-day queries, with an ability to discuss deal issues internally and with third parties;
  • Identifying and contacting finance providers on transactions, as well as ongoing maintenance of lender relationships knowledge base;
  • Preparing term sheets, side-by-side comparisons and reviewing loan agreements;
  • Training and developing junior members of the team, and potentially the wider M&A team;
  • Helping to drive the team’s go-to-market strategy, both externally (corporates and private equity) and internally (firm’s existing client base);
  • Scoping out new opportunities and pitching, with a proactive involvement in pitch book content structuring, planning and drafting / overseeing the drafting of pitch documents, as well as other marketing collateral; and
  • Contributing to all aspects of the team’s strategy, including team management (eg away days, appraisals), resource planning, recruitment, driving process efficiencies, compliance, and internal financial reporting.

Minimum Qualifications

Personal and professional qualities

  • Experience working on corporate debt, private equity, M&A or restructuring transactions would be preferable, albeit not essential, as long as the individual is able to learn quickly;
  • Self-motivated and desire to succeed in a fast-paced, entrepreneurial environment;
  • Strong project management skills, being able to deliver multiple projects at any one time whilst maintaining momentum on deals with effective prioritisation and delegation;
  • Good communication skills – written and spoken – involving pitching, presenting, drafting, leading meetings / calls, coaching and building relationships with clients, prospects, work referrers and lenders;
  • Sound commercial acumen, being able quickly to understand the strengths and weaknesses of a business, and identify key risks and mitigants that would be relevant to a lender;
  • Strong desire to learn, getting up to speed with the debt markets relevant to our clients;
  • A passion for coaching and team development;
  • Ability to seek and identify new business opportunities; and
  • Excellent finance, accounting and financial modelling skills.
